1. VALIDITY OF GENERAL TERMS AND CONDITION

These Terms and Conditions (the “Terms and Conditions” or these “Terms”) constitute a legally binding agreement between you (“Customer” or “you”) and Okay2go and its affiliated entities (collectively referred to hereafter as “Okay2go”) and govern your use of our products, services, mobile application (the “App”), and website (the “Site,” and collectively with the foregoing, the “Services”). The following Terms and Conditions are provided on the website https://www.okay2go.com. Okay2go may accept variant clauses only in the case of an explicit written agreement. This section defines various categories of individuals and entities who interact with Okay2go’s services, platforms, and applications. Understanding these roles is crucial for interpreting the rights, obligations, and conditions described in these Terms and Conditions.

The term “Customer” as used throughout this document refers to any individual or entity engaging with Okay2go’s services.. This broad definition ensures that our Terms encompass all interactions with our services, providing a clear and comprehensive understanding of the rights and responsibilities of all parties involved.

CUSTOMER ACKNOWLEDGES AND AGREES THAT, BY CLICKING ON THE “I AGREE” OR SIMILAR BUTTON, REGISTERING FOR AN ACCOUNT, USING THE WEBSITE, DOWNLOADING THE APP OR ANY APP UPGRADES, USING THE APP ON CUSTOMER’S MOBILE DEVICE, OR ACCESSING OR USING THE SERVICES, CUSTOMER IS INDICATING THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF SERVICE, WHETHER OR NOT CUSTOMER HAS REGISTERED WITH THE SITE OR THE APP. IF CUSTOMER DOES NOT AGREE TO THESE TERMS OF SERVICE, THEN CUSTOMER HAS NO RIGHT TO ACCESS OR USE THE SERVICES. These Terms of Service are effective as of the date Customer first clicks “I agree” (or similar button or checkbox) or uses or accesses the Services, whichever is earlier. If Customer accepts or agrees to these Terms of Service on behalf of their employer or another legal entity, Customer represents and warrants that (i) Customer has full legal authority to bind their employer or such entity to these Terms of Service; (ii) Customer has read and understands these Terms of Service; and (iii) Customer agrees to these Terms of Service on behalf of the party that Customer represents. In such an event, “Customer” will refer and apply to Customer’s employer or such other legal entity.

Any personal data Customer submits to Okay2go or that Okay2go collects about Customer is governed by its Privacy Policy (“Privacy Policy”), available at www.okay2go.com/privacy-policy/. Customer acknowledges that by using the Services, they have reviewed the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms of Service and together form and are hereinafter referred to as this “Agreement.”

PLEASE NOTE: THIS AGREEMENT GOVERNS HOW DISPUTES BETWEEN CUSTOMER AND OKAY2GO CAN BE RESOLVED. IT CONTAINS A BINDING AND FINAL ARBITRATION PROVISION AND CLASS ACTION WAIVER (SEE SECTION 20). PLEASE READ CAREFULLY AS IT AFFECTS CUSTOMER’S LEGAL RIGHTS, INCLUDING, IF APPLICABLE, CUSTOMER’S RIGHT TO OPT OUT OF ARBITRATION.

2. DESCRIPTION OF SERVICES

2.1. USING THE SERVICES

Okay2go is a global SIM service provider specialising in eSIM technology, while also offering physical SIM cards. Our primary focus is on providing eSIM services, making international connectivity more accessible and seamless for travellers. Okay2go offers data, and text packs in many countries, allowing customers to choose between physical SIMs or eSIMs, depending on their device compatibility and preferences. With eSIM, customers can activate their services immediately without the need for a physical SIM card, offering a hassle-free connectivity experience.

To ensure that our services are not used for illegal activities, such as scams, fraud, or other unauthorised actions, Okay2go requires the collection of personal data from all customers. This includes, but is not limited to, the following:

  • Full Name
  • Address
  • Mobile Number
  • Email Address
  • Identification/Passport Number
  • Date of Birth (DOB)
  • Nationality
  • A copy of the Customer’s identification card or passport for verification purposes

Customer must register with Okay2go and create an account (an “Account”). As part of this process, Customer agrees to provide the above-mentioned personal information accurately and completely. By using the Services, Customer acknowledges that Okay2go will securely collect and store this information in compliance with all applicable laws and regulations.

Customer is the sole authorised user of their Account and is responsible for maintaining the confidentiality of any log-in, password, and Account number provided by Customer or issued by Okay2go for accessing the Services. Customer is fully responsible for all activities that occur under their password or Account, even if not authorised by Customer. Should Customer suspect that any unauthorised party is using their password or Account, or if Customer suspects any other breach of security, Customer agrees to contact Okay2go immediately.

The person signing up for the Services will be the contracting party (“Account Owner”) for the purposes of these Terms of Service and will be the person authorised to use any corresponding Account provided by Okay2go in connection with the Services. However, if Customer is signing up for the Services on behalf of their employer, the employer shall be the Account Owner. As the Account Owner, Customer is solely responsible for complying with these Terms of Service and is entitled to all benefits accruing thereto. Customer’s Account is not transferable to any other person or account.

Customer must immediately notify Okay2go of any unauthorised use of their password, identification, or any other breach or threatened breach of Okay2go’s security or the security of their Account.

2.2. REGISTRATION FOR USING OKAY2GO SERVICES

All customers must accept the General Terms and Conditions to access Okay2go services. During the registration process, the following information must be provided:

  • For Customer: Personal information such as First Name, Last Name, Address, Mobile Number, Email Address, Date of Birth, Nationality, and a copy of their Identification/Passport will be required for direct transactions and interactions on the Okay2go website or through the Okay2go mobile application. This information is essential to ensure compliance and prevent misuse of our services.

In cases where Okay2go services are provided through intermediaries (e.g., travel agencies or third-party vendors), the intermediary may provide the required registration information on behalf of the Customer, subject to the same data protection and privacy guidelines.

Okay2go reserves the right to collect additional information from all categories of customers if necessary, to meet evolving service requirements and enhance user experience. This collection will always respect privacy laws and comply with data protection regulations. Customers will be informed of any such additional information requirements through our standard communication channels, and no changes to these Terms and Conditions will be required to implement this.

2.3. OKAY2GO ENGAGEMENTS

Okay2go will use reasonable efforts to provide Customers with high-quality service. However, Okay2go does not guarantee that the service will be uninterrupted, delivered on time, or free from errors. While we strive for optimal service performance, factors outside our control, such as network conditions and third-party providers, may impact the quality of service.

2.4. CUSTOMER ENGAGEMENTS

In using the Equipment or Services provided by Okay2go, the Customer agrees not to engage in any action that is abusive, illegal, or fraudulent, or that could impair or damage the network. If the Customer breaches their obligations under this section, Okay2go reserves the right to suspend the Customer’s access to the Service. During the suspension period, the Customer will remain liable for all charges due under this Agreement related to the suspended Services.

2.5. CUSTOMER ENGAGEMENTS

The Customer is responsible for ensuring that their device is compatible with eSIM technology and network-unlocked. Device compatibility may vary depending on the carrier and country of origin. It is the Customer’s responsibility to check the list of eSIM-compatible devices provided on our FAQs. By confirming that their device is eSIM compatible, the Customer assumes responsibility for the accuracy of the information they provide.

The eSIM compatibility list provided is not exhaustive, and newly released eSIM-compatible devices may not be included. Customers are encouraged to verify compatibility independently if their device is not listed.

3. START, DURATION, AND TERMINATION OF THE CONTRACT

The service contract between Okay2go and the Customer begins once the order is completed on the Okay2go website  www.okay2go.com, through the Okay2go app, or through any other product provided by Okay2go that allows customers to place an order.

The activation of the eSIM, and adherence to the Activation Policy, is the Customer’s responsibility. Failure to properly activate the eSIM as per the instructions provided by Okay2go may impact the availability and functionality of the Services.

The contract will be terminated if they do not have an active subscription, data package or have deleted the eSIM from their device.

Subscription Terms for Okay2Go Travel SIM

      1. Subscription Period: The contract covers a 12-month subscription period during which data roaming plans apply.

      2. Subscription Start Date: For new subscriptions, the Customer may select a start date within one month of initial registration. For renewals, the Subscription Start Date will be set as one day after the preceding Subscription End Date.

      3. Subscription End Date: The subscription ends 12 calendar months from the selected Subscription Start Date or upon termination if the Customer does not renew the subscription plan.

      4. Base Subscription Plan: This plan specifies the group of countries where data roaming is supported for the subscription period. Different Base Subscription Plans with varied geographical coverage are offered.

      5. Subscription Fee: A non-refundable fee is payable upon registration or renewal of a Base Subscription Plan.

      6. Free Sign-Up Data: Customers receive a free data allowance with the activation of any Base Subscription Plan. The amount of free data may vary based on Okay2go’s discretion and current promotional offerings.

      7. Data Top-Up: Customers may purchase additional data beyond the Free Sign-Up Data, valid for roaming within countries covered by the Base Subscription Plan and throughout the subscription period.

      8. Roaming Plans Top-Up: Additional roaming plans providing extended geographical coverage beyond the Base Subscription Plan can be purchased and are valid within the roaming plans’ period.

      9. Data Rollover: Upon renewal of a Base Subscription Plan, all unused data, whether from Free Sign-Up Data, or Data Top-Up, will be carried over into the next subscription period.

4. CHARGES AND PAYMENT

All payments and related charges for Okay2go services must be made through a third-party payment processing system (the “PSP”) as indicated on the Services. Customers may be required to register with the PSP, agree to its terms of service, provide payment details, and undergo any necessary vetting processes requested by the PSP in order to set up an account (the “PSP Services Agreement”). By accepting these Terms of Service, the Customer agrees that they have reviewed and accepted the PSP Services Agreement.

Please note that Okay2go is not a party to the PSP Services Agreement. The PSP, the Customer, and any other relevant parties involved in the PSP Services Agreement are responsible for their own obligations, and Okay2go bears no responsibility or liability related to the PSP Services Agreement.

All prices and fees displayed on the Okay2go Services are exclusive of applicable federal, provincial, state, local, or other governmental taxes, fees, or charges unless otherwise explicitly stated. Any applicable taxes will be based on the billing address provided by the Customer and will be calculated at the time the transaction is charged to the Customer’s account.

4.1 PAYMENT CONDITIONS

Okay2go offers a variety of payment methods for its services, including but not limited to Credit/Debit Cards, PayPal, Google Pay, Apple Pay, and other methods that may be introduced from time to time.

Payments are primarily made in Singapore Dollars (S$) for transactions in Singapore and US Dollars (US$) for transactions out of Singapore. The applicable currency for payment will be confirmed at the time of the transaction.

All credit card transactions will be processed and secured by Okay2go-approved payment service providers, including but not limited to HitpayApp, and any additional providers selected by Okay2go for specific transactions. These providers ensure secure handling of payment information in compliance with industry standards.

5. DELIVERY

For Customer, the purchased eSIM will be available under the My Account on the Okay2go website or within the Okay2go mobile app. After the purchase is completed, the Customer will receive a confirmation email. All necessary information for installing the eSIM, including the QR code or manual installation instructions, will be accessible only through the Customer’s Okay2go account or they will be delivered via email to Customer.

For Physical SIMs, delivery will be made via EasyParcel, a logistic aggregator and expected delivery timeframe and delivery charges will be provided on checkout. Tracking information from EasyParcel will be provided once the physical SIM has been dispatched.

Okay2go recognizes the diverse needs of its Customers and delivers products and services through various methods, depending on the selected integration, as well as the specific products and services used.

6. REFUND / CANCELLATION / MODIFICATION POLICY

Customers have the right to request a refund or eSIM replacement if they are unable to use the Services due to an error or omission by Okay2go. A refund request must be submitted within thirty (30) days of the purchase date. However, Okay2go is not obligated to issue a refund if the issue is resolved within ten (10) days of the Customer notifying Okay2go of the problem. The Customer agrees to cooperate with Okay2go’s efforts to resolve the issue, and no refund will be issued if the Customer fails to do so. Each data package provided by Okay2go has its own validity period, and no refund will be offered for remaining data once the validity period expires.

The following additional terms apply:

    • Compensation: No refunds or compensation will be issued for charges related to the use of alternate phones, SIM cards, service providers, hotel phones, or other costs that are not directly linked to the Customer’s Okay2go eSIM or physical SIM account.

    • Fraudulent Purchases: Okay2go reserves the right to refuse any refund if there is evidence of abuse, violation of Okay2go’s Terms and Conditions, or any fraudulent activity associated with the use of Okay2go products and services.

    • Unauthorised Purchases: Customers must notify Okay2go immediately of any suspected unauthorised purchases. These cases will be subject to investigation and approval by Okay2go before processing any refund. Okay2go reserves the right to suspend any account associated with fraudulent activity.

    • Accidental Purchases: Once the Customer installs the eSIM or receives the physical SIM, it is considered used, and no refunds will be issued after installation, except as expressly set forth in these Terms.

    • Incorrect Charges: If the Customer disputes a charge in good faith, they must notify Okay2go within twelve (12) days of incurring the charge, providing details of why the amount is incorrect and, if possible, suggesting the correct amount.

    • Other Reasons: For refund requests outside the terms listed above, each request will be reviewed on a case-by-case basis. If the refund is approved, a processing fee may apply. Refunds are limited to the total amount the Customer paid.

To request a refund, contact Okay2go’s support team via email or web chat. Please note that Okay2go’s refund policy applies as stated above.

Depending on the nature of the issue, Customers may be asked to provide further information to support their refund request, such as screenshots of device settings for technical issues, or details of why the invoiced amount is disputed. Refunds will be issued either to the original payment method or as account credit, based on the Customer’s preference. Once a refund is approved, it may take up to thirty (30) business days to appear on the Customer’s statement, depending on the bank.

7. ANNUAL MEMBERSHIP ACTIVATION AND SIM MANAGEMENT

Okay2go offers an annual membership program, which includes access to eSIMs and other services throughout the membership period. Upon membership activation, members will have access to their eSIM(s) and related services as part of their membership benefits. It is the member’s responsibility to activate and use the eSIM(s) within the membership year.

Failure to activate or use the eSIM during the membership period may result in the eSIM’s expiration. Expired eSIMs cannot be reactivated, and members will need to renew their membership to gain access to new eSIMs or services.

Okay2go advises all members to review and follow the activation guidelines provided at the time of membership purchase or renewal to ensure smooth eSIM activation and uninterrupted service throughout the membership term.

8. PRICES AND PROMOTIONS

Prices refer to the cost at which Okay2go offers its eSIM and physical SIM membership subscription packages, roaming data packages, along with associated services to Customers. Okay2go may offer promotional prices for its packages for a limited time. These promotions are subject to specific terms and conditions, including duration, eligibility criteria, and associated requirements, all of which will be clearly communicated during the promotional period. After the promotion concludes, regular prices will apply unless otherwise stated. Okay2go reserves the right to modify or terminate any promotional prices, including the associated terms and conditions, at its sole discretion, without prior notice. Customers seeking additional information or clarification about promotional prices can contact Okay2go’s support team via the website or app.

Okay2go continuously reviews its pricing strategy to align with market dynamics, ensuring that we provide quality services at competitive rates. We reserve the right to adjust prices based on factors such as market conditions, exchange rates, and operational costs. These adjustments ensure the sustainability and quality of our services. While we make every effort to inform Customers of significant pricing changes, immediate notifications may not always be possible due to the dynamic nature of pricing factors.

Our pricing and promotional strategies are crafted to deliver maximum value to our Customers while maintaining service quality. For the latest information on prices and promotions, Customer should check our website or app.

8.1 Okay2go Membership Subscription Plan Promotions

As part of the Okay2go annual membership, members are entitled to a variety of benefits, including:

  • Complimentary 3GB of free data: Each member will receive 3GB of free data upon membership activation. This data can be used with any active eSIM or physical SIM during the membership period.

  • One Free eSIM or Physical SIM: Each member is eligible to receive one free eSIM or physical SIM as part of their membership benefits. Members can choose between the eSIM or physical SIM option during the sign-up process. Additional eSIMs or physical SIMs must be purchased separately.

Free eSIMs or physical SIMs obtained through the membership cannot be refunded or exchanged for cash or other products. Members who received eSIMs or physical SIMs from previous campaigns or promotions may still qualify for these membership benefits, provided they meet the other eligibility criteria.

Okay2go reserves the right to terminate any free eSIMs or physical SIMs obtained through fraudulent activities and to suspend the related Customer accounts. Fraudulent activities include, but are not limited to, creating multiple accounts to obtain additional free eSIMs or using false information during sign-up.

Okay2go also reserves the right to modify or terminate the membership benefits at any time and for any reason, without prior notice. This includes the right to end the distribution of free eSIMs or physical SIMs and to make changes to the eligibility criteria, terms, and conditions associated with the program.

9. USER LOCATION TRACKING

Okay2go may collect and process users’ geographical location information, such as GPS coordinates, IP addresses, Wi-Fi access points, and cell tower data, to provide location-based services and improve user experiences. By using Okay2go services, users consent to the collection and use of this location data. This information is used to deliver location-specific services, enhance service quality, and personalise the user experience.

Location data may be shared with third-party service providers, who are required to handle the data in accordance with privacy regulations. Users have the option to control location tracking through their device settings; however, disabling these services may limit the functionality of certain features.

Okay2go employs robust security measures to protect location data, retains it only for the necessary period, and adheres to applicable data protection laws. This section may be updated as needed, and users are encouraged to contact Okay2go Customer Support with any questions or concerns regarding location tracking practices.

10. LOCAL REGULATORY COMPLIANCE

When using Okay2go services in any country, you agree to follow all applicable local laws and regulations, including but not limited to those related to mobile device registration and the use of telecommunications services. Where required by local law, Okay2go may take necessary actions on your behalf to ensure compliance with these regulations.

By accepting these Terms and Conditions, you consent to Okay2go’s use of your personal data for these purposes, in line with applicable local data protection laws.

11. REPRESENTATIONS AND WARRANTIES

The Customer represents and confirms that: (i) they are at least 18 years old or have reached the legal age of majority in their jurisdiction, and are capable of entering into binding contracts, and (ii) they possess the necessary authority and capacity to enter into this Agreement and agree to its terms and conditions. If the Customer is acting on behalf of a company or organisation, they represent and warrant that they have the authority to bind that entity to this Agreement.

Additionally, the Customer represents that (i) they have read, understood, and agree to be bound by these Terms of Service and the Privacy Policy in order to use the Services, and (ii) their use of the Services will comply with all applicable laws, rules, and regulations, and be conducted in good faith.

The Customer agrees not to engage in any prohibited activities, including but not limited to: (i) copying, distributing, or disclosing any part of the Services in ways that violate these Terms of Service; (ii) using any automated tools (e.g., robots, spiders, etc.) to access the Services without permission; (iii) sending unsolicited communications such as spam or chain letters, or engaging in phishing or fraud; (iv) attempting to interfere with or compromise the security of the Services; (v) violating any laws or regulations; (vi) engaging in unlawful activities or encouraging others to do so; (vii) uploading harmful content like viruses or malware through the Services; (viii) infringing on the intellectual property rights of Okay2go or others; (ix) impersonating someone else or misrepresenting your identity; (x) harassing, abusing, or threatening other users, visitors, or staff; (xi) interfering with the proper functioning or security of the Services; (xii) attempting to decipher or reverse-engineer any part of the software used in the Services; (xiii) bypassing security measures in place to prevent unauthorised access; (xiv) attempting to access unauthorised accounts or personal information; or (xv) using the Services in any way that violates the rights of third parties or encouraging others to do the same.

The Customer further represents that they are not using the Services for any undisclosed purpose, such as for investigative, journalistic, or unlawful reasons. If the Customer has any such motivations, they agree to promptly inform Okay2go in writing before or during their use of the Services.

By installing the Okay2go app, the Customer consents to the installation of updates and upgrades that may be released. The app may: (i) automatically communicate with Okay2go’s servers to enable its functionality and track usage, (ii) affect certain app preferences or data on the Customer’s device, and (iii) collect personal information as outlined in the Privacy Policy, including location data. The Customer can uninstall the app at any time.

12. TERMINATION AND SUSPENSION

Unless otherwise agreed in writing between the Customer and Okay2go, either party may terminate these Terms of Service at any time, with or without cause. Customers can cancel and delete their account by using the features available within the Services (if applicable) or by providing written notice to our support team. Once the account is cancelled, the Customer will no longer have access to their profile, account, or any other information stored within the Services. Certain provisions of these Terms of Service, such as disclaimers of warranties, limitations of liability, and indemnification, are intended to survive termination and will continue to apply indefinitely.

Okay2go reserves the right to refuse service to anyone for any reason at any time. If we believe that a Customer has violated any part of this Agreement, Okay2go may terminate or limit the Customer’s access to the Services by providing notice via email or in writing. This termination or limitation will be effective immediately upon notification. If a Customer’s access is terminated or limited, they are prohibited from creating a new account under their own name, a fake name, a borrowed name, or the name of a third party, even if acting on behalf of that third party.

Even after a Customer’s access to the Services is terminated, the terms of this Agreement will remain enforceable. Okay2go reserves the right to take legal action if necessary, including but not limited to pursuing arbitration.

Okay2go may modify or discontinue any portion of the Services at its sole discretion, either temporarily or permanently. We are not liable to the Customer for any modifications or discontinuation of services. Additionally, Okay2go reserves the right to restrict or block the registration of any individual it deems may threaten the security or integrity of the Services, or if such restriction is required for any other legitimate business reason.

Upon the termination or cancellation of a Customer’s account, Okay2go reserves the right to delete all associated data as part of routine operations. Once the account is terminated or cancelled, the data cannot be recovered.

No refunds or credits will be issued for unused services if the account is terminated or suspended.

13. LINKS TO THIRD-PARTY WEBSITES

The Services may include links, such as hyperlinks, to third-party websites. These links are provided for informational purposes and convenience, and do not signify any endorsement or affiliation between Okay2go and the linked websites, their content, or their operators. Okay2go does not control these websites and is not responsible for their availability, accuracy, or the content, advertising, products, or services they provide. It is the Customer’s responsibility to assess the usefulness and relevance of the information found on third-party websites. The Customer agrees that Okay2go has no involvement in the creation or management of these websites and therefore cannot be held liable for any claims or issues arising from their use.

Okay2go is not obligated to monitor or review the links to third-party websites but reserves the right to modify or remove them at its discretion. Any use of third-party websites is governed by their respective terms of service and privacy policies, and the Customer accesses them at their own risk. Okay2go expressly disclaims any liability related to the Customer’s use of or access to third-party websites, and the Customer agrees to hold Okay2go harmless from any such liability.

As part of the Services, the Customer may choose to link their Okay2go account with online accounts from third-party service providers (e.g., Facebook, Instagram). By doing so, the Customer may either provide login information for those third-party accounts or allow Okay2go to access them in accordance with the terms governing each third-party account. The Customer represents that they are authorised to provide this access without violating any third-party terms and without imposing any obligations on Okay2go.

When linking third-party accounts, Okay2go may access and store content from those accounts (such as social media content), making it available through the Services. However, if a third-party account becomes unavailable or access is revoked, this content may no longer be accessible through the Services. The Customer can disable the connection between their Okay2go account and third-party accounts at any time.

Please note that the relationship between the Customer and third-party service providers is governed solely by the terms and conditions set by those providers. Okay2go does not review content from third-party accounts for accuracy, legality, or compliance and is not responsible for any such content.

14. INTELLECTUAL PROPERTY RIGHTS

All text, graphics, data, formatting, designs, images, logos, software, videos, trademarks, music, and other content (collectively “Proprietary Material”) that users encounter through Okay2go’s Services are owned by Okay2go. This Proprietary Material is protected across all media and technologies, whether existing now or developed in the future. Okay2go holds ownership over the Proprietary Material, as well as the selection, arrangement, and enhancement of such content, which is protected as a collective work under copyright laws. Domestic and international copyright, patent, and other proprietary rights laws safeguard this material. Users may not copy, download, modify, or use any part of the Services without express written permission from Okay2go.

Any unauthorised use of the Proprietary Material is prohibited without prior approval from Okay2go.

Okay2go’s service marks and trademarks, including the Okay2go name and logo, are owned by the company. Any other trademarks or logos visible through the Services are the property of their respective owners. Customers may not use these marks, logos, or trade names without explicit written consent from their rightful owner.

Additionally, if a Customer submits comments, ideas, or feedback on how to improve Okay2go’s Services or products (“Feedback”), they agree that their submission is voluntary, unsolicited, and without any obligation on Okay2go’s part. Okay2go is free to use the Feedback without compensating the Customer and may disclose or use it in any manner it chooses. By submitting Feedback, the Customer acknowledges that Okay2go does not waive any rights to use similar Feedback previously known to the company or obtained through other sources. All email or correspondence submitted to Okay2go becomes its sole property.

Subject to the terms outlined here, Customers are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use Okay2go’s Services. Okay2go reserves the right to revoke this licence at any time without cause. The Services and all associated materials, including software, images, logos, text, graphics, reports, and other content (the “Okay2go Content”), are the exclusive property of Okay2go or its licensors. Customers may not sell, licence, rent, modify, distribute, or create derivative works from any materials or content accessible on the Services unless expressly permitted by these Terms.

The Customer’s access to and use of Okay2go’s Services is conditioned upon compliance with any applicable guidelines and licences related to the App or Services. Okay2go may change these guidelines at its discretion and reserves the right to terminate a Customer’s account if any such guidelines are violated.

15. CONFIDENTIAL INFORMATION

The Customer acknowledges that Okay2go’s Confidential Information (as defined below) is a valuable and unique asset. The Customer agrees not to disclose, transfer, or use any Confidential Information for any purpose other than using the Services in accordance with these Terms. If necessary, the Customer may share Confidential Information with authorised employees or agents, provided they are also bound by confidentiality obligations. The Customer must notify Okay2go in writing of any unauthorised disclosure, transfer, or use of Confidential Information and make every effort to protect such information from misuse. Upon termination of this Agreement for any reason, the Customer must return all materials containing Confidential Information to Okay2go.

“Confidential Information” refers to all of Okay2go’s proprietary and confidential information, including trade secrets and any other data that is not publicly available and could be valuable to third parties. This includes, but is not limited to, technical data, research, product plans, services, customer information, markets, software, inventions, processes, designs, marketing strategies, financial data, and any other proprietary information related to Okay2go’s business, staff, users, or partners, whether disclosed in writing, verbally, or through observation.

16. DISCLAIMER OF WARRANTIES

The Services are provided “as is” without any warranties or conditions, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Okay2go makes no representations or guarantees about the accuracy or completeness of the content provided through the Services, or the content of any third-party websites linked to the Services. Okay2go assumes no liability for any (i) errors, inaccuracies, or omissions in the content, (ii) personal injury or property damage resulting from your access to or use of the Services, (iii) unauthorised access to or use of our secure servers and any personal or financial information stored on them, or (iv) events beyond Okay2go’s reasonable control.

Under no circumstances will Okay2go, its affiliates, or its corporate partners be liable for any direct, indirect, incidental, consequential, special, or exemplary damages (including but not limited to lost profits, data loss, loss of goodwill, service interruptions, computer damage, system failure, or the cost of substitute services) arising out of your use of or inability to use the Services, even if advised of the possibility of such damages. In some jurisdictions, the exclusion or limitation of incidental or consequential damages may not be allowed, so certain limitations may not apply to you in full.

If, despite the above disclaimers, it is determined that Okay2go, its affiliates, or corporate partners are liable for any damages, their total liability will be limited to the lesser of (i) the total fees paid by you to Okay2go in the six months prior to the claim or (ii) Singapore Dollars $100 , to the extent allowed by applicable law.

17. INDEMNIFICATION

The Customer agrees to indemnify, defend, and hold harmless Okay2go and its officers, directors, employees, agents, attorneys, insurers, successors, and assigns (the “Indemnified Parties”) from any and all liabilities arising from (i) the Customer’s use or inability to use the Services, (ii) any breach or violation of this Agreement by the Customer, (iii) the Customer’s violation of any law or the rights of another user or third party, and (iv) any content submitted by the Customer or through their account that may infringe upon third-party intellectual property rights or otherwise be illegal.

The Customer also agrees to indemnify the Indemnified Parties against liabilities resulting from the use of any automated tools, such as robots, spiders, crawlers, or similar data extraction tools, or any actions taken that place an unreasonable burden on Okay2go’s infrastructure. Okay2go reserves the right, at its own expense, to assume exclusive defence and control of any matter subject to the Customer’s indemnification. The Customer agrees not to settle any claim or issue without Okay2go’s prior written consent.

18. GOVERNING LAW

This agreement is governed by the laws of Singapore. Both the Customer and Okay2go agree to submit to the exclusive jurisdiction of the courts of Singapore. However, Okay2go reserves the right to initiate legal proceedings in any other jurisdiction if deemed necessary.

Without limiting Okay2go’s right to serve legal process in other ways permitted by law, Okay2go may serve any writ, summons, or legal document by delivering it to the Customer’s last known address, either by leaving it there or sending it via regular post (whether it is a residential, business, or post office box address). Such service will be considered validly served:

  • Immediately upon delivery to the Customer’s address; or
  • If sent by post:
    • Two (2) days after posting to an address within Singapore, or
    • Fourteen (14) days after posting to an address outside of Singapore.

The Customer agrees that this method provides adequate and sufficient notice of any legal process.

19. GENERAL PROVISIONS

The original English version of these Terms may have been translated into other languages. Any translated version is provided as a courtesy and for informational purposes only, and Customers cannot derive any legal rights from the translated version. In the event of a dispute over the interpretation or content of these Terms, or in the case of any conflict, ambiguity, inconsistency, or discrepancy between the English version and a translated version, the English version shall prevail and be considered binding. The English version will be used in legal proceedings. If any provision of these Terms is found to be invalid, unenforceable, or non-binding, the Customer will still be bound by the remaining provisions. In such cases, the invalid provision will be enforced to the fullest extent permitted by law, and the parties agree to a similar effect as intended by the invalid provision, in line with the purpose of these Terms.

This Agreement may not be assigned or transferred by the Customer without prior written approval from Okay2go. However, Okay2go may assign or transfer this Agreement without the Customer’s consent, including but not limited to assignments: (1) to a parent or subsidiary, (2) to an acquirer of assets, or (3) to any successor. Any assignment in violation of this section will be null and void. This Agreement will benefit Okay2go, its successors, and assigns.

20. CHANGES TO THIS AGREEMENT AND THE SERVICES

Okay2go reserves the right, at its sole discretion, to modify, add to, suspend, discontinue, or delete any of the terms of this Agreement (including these Terms of Service and the Privacy Policy) and to review, modify, or discontinue the Services or any content offered through the Services, at any time, with or without prior notice and without liability to the Customer. While Okay2go will endeavour to notify the Customer of significant changes via email, it is not liable for any failure to do so. If any changes to this Agreement are unacceptable to the Customer, or if the Customer no longer agrees with the terms, they must stop using the Services immediately. Continued use of the Services after any revisions to this Agreement will constitute the Customer’s full acceptance of those changes. Okay2go may also limit certain features or restrict the Customer’s access to parts or all of the Services without notice or liability.

21. NO RIGHTS OF THIRD PARTIES

No person who is not a party to this Agreement shall have any rights to enforce any of its terms.

22. NOTICES AND CONSENT TO RECEIVE NOTICES ELECTRONICALLY

The Customer agrees to receive all agreements, notices, disclosures, and other communications (“Notices”) electronically, including via email or by posting them on the Okay2go website. The Customer agrees that all such Notices provided electronically fulfil any legal requirements that they be in writing. Unless otherwise stated in this Agreement, all notices under this Agreement will be considered duly given when received if delivered personally, sent by certified or registered mail with return receipt, when receipt is confirmed electronically, or the day after they are sent via a recognized overnight delivery service.
